These Terms and Conditions (“Terms”) govern all quotations, orders, and supply of goods and services (“Goods” and/or “Services”) by PiNC (Pinc Pack Ltd) to business customers (“Customer”).

By placing an order, you confirm that you are acting in the course of a business and agree to be bound by these Terms.

1. Definitions & Interpretation

  • “Days” – working days (Monday to Friday, UK, excluding bank holidays).

  • “Order” – becomes binding only when PiNC issues written confirmation.

  • “Goods” / “Services” – all products, packaging, and services provided by PiNC.

  • “Customer” – a business customer purchasing Goods or Services for commercial purposes.

These Terms apply only to business customers. Consumer protection laws do not apply, and PiNC may refuse supply to individuals purchasing for personal use.

2. Quotations & Order Confirmation

  • All quotations are valid for 30 days unless stated otherwise.

  • A legally binding contract forms when PiNC confirms the Order in writing and, where applicable, receives the required payment or deposit.

  • PiNC may withdraw or amend quotations before confirmation without liability.

3. Prices & Payment

  • All prices are exclusive of VAT unless stated otherwise.

  • Payment in full is required before production or delivery begins unless agreed in writing.

  • Setup charges (plates, dies, tooling) are charged once per design and size and are not recharged for repeat orders unless specifications change.

  • Late payments may incur statutory interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.

4. Artwork, Proofs & Approvals

  • Customers must supply artwork in print-ready vector format (AI, EPS, PDF).

  • PiNC provides proofs for approval; Customers are responsible for checking them thoroughly.

  • Once approved, PiNC accepts no liability for errors in the approved proof.

5. Materials, Finishes & Production Tolerances

  • Minor variations in colour, texture, size, or finish may occur due to natural material differences or manufacturing processes.

  • Pantone matches are accurate but not guaranteed exact.

  • Recycled and kraft materials may show natural shade variation; this is not considered a defect.

6. Delivery, Risk & Title

  • Lead times vary by product, quantity, and customisation (e.g., luxury bags: 7–8 weeks; rigid boxes: 2–6 weeks; luxury tubes: 4–8 weeks).

  • Confirmed delivery dates are guaranteed under the PiNC(y) Promise, subject to timely proof approval and payment.

  • Risk passes to the Customer upon delivery. Ownership of Goods remains with PiNC until payment is received in full.

7. Changes & Cancellations

  • Orders cannot be cancelled or amended once production has begun.

  • Pre-production cancellations may incur charges for materials, design, and setup.

  • Post-production changes may result in additional costs or lead-time extensions.

8. Defects, Returns & Claims

  • Goods are bespoke and non-returnable unless defective.

  • Any damage or defect must be reported in writing within 5 working days of delivery.

  • If validated, PiNC may repair, replace, or refund at its discretion.

  • PiNC is not liable for consequential losses arising from defective Goods.

9. Intellectual Property

  • Customers retain rights to all supplied artwork, designs, and trademarks.

  • Customers warrant they own or have permission to use supplied designs.

  • PiNC retains copyright in any design, template, or tool created during production.

  • PiNC may use images of finished Goods for marketing unless instructed otherwise in writing.

10. Liability

  • PiNC is not liable for indirect, incidental, or consequential losses, including lost profit, revenue, or reputation.

  • Total liability will not exceed the total price of the Goods or Services supplied, except where prohibited by law (e.g., personal injury or death caused by negligence).

11. Force Majeure

  • PiNC is not liable for delays or failures caused by events beyond its control, including supply chain disruptions, transport issues, industrial action, natural disasters, or government restrictions.

  • Delivery schedules may be extended accordingly.

12. Governing Law & Jurisdiction

  • These Terms are governed by the laws of England and Wales.

  • Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

13. Price Breaks & Minimum Order Quantities (MOQs)

  • PiNC provides clear price breaks to illustrate unit cost reductions for larger quantities.

  • Minimum order quantities may apply depending on product type.

14. Business-to-Business Specifics

  • These Terms apply only to business customers, including companies, partnerships, and organisations purchasing Goods or Services for commercial purposes.

  • Consumer protection laws, including the Consumer Rights Act 2015, do not apply.

  • By placing an order, the Customer confirms they are acting in the course of business.
